  • Any changes to the agreed scope may require additional fees and revised timelines.
  • Intellectual property ownership for custom deliverables will be governed by the applicable contract.

10. Payments and Billing

Where Services are provided for a fee:

  • Fees must be paid according to the applicable quotation or agreement.
  • Taxes, duties, or government charges are the customer's responsibility unless otherwise stated.
  • Late payments may result in suspension of Services or additional charges where permitted by law.
  • We reserve the right to revise pricing for future renewals upon reasonable notice.

11. Subscription Services

For subscription-based Services:

  • Subscriptions continue until cancelled or terminated.
  • Renewal terms will be communicated in the applicable agreement.
  • Failure to pay subscription fees may result in suspension or termination of access.

12. Third-Party Services

Our Services may integrate with third-party providers such as payment gateways, cloud hosting providers, communication platforms, analytics tools, or external APIs.

We are not responsible for the availability, content, or policies of third-party services.

Your use of third-party services is governed by their respective terms.

13. Service Availability

Scheduled maintenance, security updates, technical issues, force majeure events, or third-party service interruptions may affect availability.

14. Data Backup

Customers are responsible for maintaining backups of their own business-critical data unless backup services are expressly included in a written agreement.

Aqlix may maintain backups for operational purposes but does not guarantee data recovery in every circumstance.

15. Privacy

Our collection and processing of personal information is governed by our Privacy Policy, which forms an integral part of these Terms.

16. Confidentiality

Each party agrees to protect confidential information disclosed during the business relationship and to use such information only for the intended purpose.

Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from another source.

17. Warranties

We provide our Services using commercially reasonable care and skill.

Except as expressly stated in a written agreement, the Services are provided "as is" and "as available."

To the maximum extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

18. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Aqlix shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages.

You agree to indemnify and hold harmless Aqlix, its directors, employees, affiliates, and representatives from claims, liabilities, damages, and expenses arising from:

  • Your violation of these Terms.

  • Your infringement of any third-party rights.
  • Content or data submitted by you.

20. Suspension and Termination

We may suspend or terminate access to the Services if:

  • You breach these Terms.
  • Payment obligations remain outstanding.

Termination does not affect accrued rights or obligations.

21. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, civil unrest, labor disputes, government actions, internet failures, pandemics, cyberattacks, or utility outages.

22. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Subject to applicable law, the courts having jurisdiction over the registered office of Aqlix IT Solutions Pvt. Ltd. shall have exclusive jurisdiction over disputes arising from or relating to these Terms, unless otherwise agreed in writing.
